1. Agreement to Terms

By engaging Dioratikos Studio (“we,” “us,” “our”) for any service (Signal Review, Red Flag Review, or Pattern Room), you (“client,” “you,” “your”) agree to these Terms & Conditions in full.

If you do not agree to these terms, do not proceed with payment or engagement.

2. Nature of Services

2.1 What We Provide

Dioratikos Studio provides pattern intelligence — the identification and mapping of invisible relational, behavioural, and emotional architecture within organisations, leadership, and decision-making contexts.

We are NOT:

  • Consultants (we do not implement solutions)
  • Coaches (we do not provide ongoing personal development support)
  • Therapists (we do not provide mental health treatment)
  • Facilitators (we do not run workshops or team-building sessions)

We map what is invisible. What you do with that intelligence is your responsibility.

2.2 Service Descriptions

Signal Review

  • Purpose: Identify the invisible pattern causing a recurring organisational or leadership breakdown
  • Deliverables, timelines and investment are per service page

Red Flag Review

  • Purpose: Map invisible relational and behavioural risk before a high-stakes decision (hire, partnership, investment, restructure)
  • Deliverables, timelines and investment are per service page

Pattern Room

  • Purpose: Ongoing pattern intelligence as your organisation evolves
  • Deliverables, timelines and investment are per service page

3. Payment Terms

3.1 Payment Timing

All services require payment in advance.

  • Signal Review & Red Flag Review: Full payment required before scheduling interviews
  • Pattern Room: Payment due on the 1st of each month, before that month’s services are rendered

If payment is not received by the 5th of the month, Pattern Room services will be paused until payment is received.

3.2 Accepted Payment Methods

We accept payment via:

  • Bank transfer
  • Credit/debit card (via Paystack or approved payment processor)
  • Other methods as agreed in writing

All payments are in USD unless otherwise specified.

3.3 Currency & Conversion

If you are paying in a currency other than USD, the exchange rate used will be determined by your payment processor at the time of transaction. We are not responsible for exchange rate fluctuations or fees.

3.4 Late Payment (Pattern Room Only)

If Pattern Room payment is not received within 5 days of the due date:

  • The monthly call will be rescheduled to after payment is received
  • Quarterly reports will be delayed until payment is current
  • Emergency pattern analyses will not be available until payment is received

Repeated late payment (2+ months) may result in termination of the engagement.

4. Refund Policy

4.1 Signal Review & Red Flag Review

Before the Diagnostic Interview:

If you cancel before the scheduled diagnostic interview (Signal Review) or before the first stakeholder interview (Red Flag Review), you will receive a full refund minus a $500 administrative fee.

After the Diagnostic Interview:

Once the diagnostic interview or first stakeholder interview has been conducted, no refunds are provided — because the core intellectual work (pattern observation and analysis) has begun.

Exception: “Not a Fit” Determination

If, after the diagnostic interview, we determine that the engagement will not serve you (because you’re not ready for this level of truth, the pattern question is outside our scope, or the engagement is structurally misaligned), we will:

  • Provide a 50% refund of the service fee
  • Deliver a written explanation of why continuing would not be valuable
  • Recommend alternative resources or timing for re-engagement

This determination must be made within 48 hours of the interview and communicated in writing.

4.2 Pattern Room

During the 3-Month Minimum Commitment:

Pattern Room requires a 3-month minimum commitment. No refunds are provided during the first 3 months unless we mutually agree the engagement is not a fit.

Mutual “Not a Fit” Determination:

If, after Month 1, both parties agree that Pattern Room is not the right engagement, we will:

  • Refund any unused months within the 3-month minimum (prorated)
  • Provide a written explanation of why continuing would not serve the relationship
  • Discuss whether a different service (Signal Review or Red Flag Review) would be more appropriate

After the 3-Month Minimum:

After Month 3, you may end the engagement with 30 days’ written notice. No refund is provided for the notice period month, but you will receive all contracted deliverables (monthly call, any due quarterly reports).

4.3 No Refunds for Dissatisfaction with Findings

We do not provide refunds because you disagree with or dislike the pattern intelligence.

Pattern intelligence is observational and structural. It is not designed to validate your perspective or make you comfortable.

If the findings are uncomfortable, confronting, or contrary to your expectations, that is the work functioning as intended.

Refunds are only provided for:

  • Services not delivered as contracted
  • Mutual determination that the engagement is not a fit (within specified windows)
  • Cancellation before work has begun (minus administrative fee)

5. Confidentiality

5.1 What We Protect

Everything shared during our engagements is strictly confidential, including:

  • All interview content and recordings
  • Written reports and pattern maps
  • Email correspondence
  • Organisational details, names, and contexts

We will never:

  • Name you publicly as a client
  • Share your pattern intelligence in case studies, teaching, or marketing (even anonymised)
  • Discuss your engagement with other clients or third parties
  • Use your organisational details in Pattern Library entries without explicit written permission and full anonymisation

5.2 Who Can Access Pattern Intelligence

Pattern intelligence is shared only with:

  • The person who contracted the service (the “pattern question holder”)
  • Anyone explicitly designated in writing by the pattern question holder

If you want to share findings with your leadership team, board, co-founder, or other stakeholders, that is your decision. You must inform us in writing of who has access.

5.3 Exceptions to Confidentiality

We may disclose information if:

  • Required by law or court order
  • Necessary to protect against imminent harm to self or others
  • You provide explicit written permission

In all other cases, confidentiality is absolute.

5.4 Anonymised Pattern Library Use

We may, without your explicit written consent, create anonymised Pattern Library entries based on patterns observed in your engagement.

Anonymisation means:

  • No names, organisations, or identifying details
  • Context changed (e.g., industry, role, timeline)
  • Composite examples used instead of specific instances

You have full right to refuse this use. Refusal does not affect your engagement or deliverables.

6. Intellectual Property

6.1 Ownership of Deliverables

Once delivered, all written reports, pattern maps, and recordings belong to you. You may:

  • Share them internally with your team (at your discretion)
  • Use them to inform your decisions
  • Reference them in your strategic planning

You may NOT:

  • Resell or distribute them publicly
  • Use them to train others in “pattern intelligence methodology”
  • Claim authorship or ownership of the methodology itself

6.2 Methodology & Process

The pattern intelligence methodology, frameworks, and process remain the intellectual property of Dioratikos Studio.

You are purchasing the output (pattern maps, reports, intelligence), not the methodology or right to replicate our services.

7. Limitations of Liability

7.1 No Guarantees of Outcomes

Pattern intelligence maps invisible architecture. We do not guarantee:

  • That you will act on the intelligence
  • That acting on it will produce specific outcomes
  • That the pattern will resolve

What we guarantee:

  • We will deliver the contracted services (interviews, written reports, debriefs)
  • We will map what we observe with precision and honesty
  • We will meet the agreed timelines (subject to Section 8)

7.2 “What If You’re Wrong?”

Pattern intelligence is observational, not predictive. We map what is invisible at the time of engagement based on the information and behaviour we observe.

If our pattern reading proves inaccurate:

  • This does not constitute breach of contract
  • No refund is provided
  • You may provide feedback on what we missed (which we welcome for learning)

However:

If we fail to deliver contracted services (miss timelines without cause, don’t provide agreed deliverables, or provide work that is substantively incomplete), that is breach of contract and subject to refund or remediation.

The difference:

  • ✗ “Your pattern map was wrong” → Not grounds for refund
  • ✓ “You didn’t deliver the pattern map” → Grounds for refund

7.3 Maximum Liability

Our total liability for any claim arising from our services is limited to the amount you paid for the specific engagement in question.

We are not liable for:

  • Decisions you make based on our intelligence
  • Outcomes resulting from your implementation (or non-implementation)
  • Indirect, consequential, or opportunity costs
  • Emotional distress resulting from uncomfortable findings

8. Timelines & Delays

8.1 Estimated Timelines

Service timelines are estimates, not guarantees:

  • Signal Review: 7-10 calendar days from interview
  • Red Flag Review: 3-4 weeks from final interview
  • Pattern Room: Monthly cadence with quarterly reports

Timelines may be extended if:

  • Stakeholder interviews are delayed
  • You request additional time to prepare materials
  • Unforeseen circumstances arise (illness, force majeure, etc.)

We will communicate delays as soon as they are known.

8.2 Client-Caused Delays

If timelines are delayed because of client actions (late scheduling, missed interviews, failure to provide requested materials), no refund or timeline adjustment is guaranteed.

We will work with you to reschedule, but the engagement timeline will extend accordingly.

8.3 Maximum Engagement Windows

Even with reasonable accommodations for scheduling, all engagements must be completed within a maximum timeframe:

  • Signal Review: Must be fully completed (interview + report + debrief) within 90 days of payment
  • Red Flag Review: Must be fully completed (all interviews + report + debrief) within 120 days of payment

If an engagement cannot be completed within these windows (due to any combination of delays — client-caused, mutual rescheduling, or unforeseen circumstances):

  1. We will provide written notice at the 60-day mark (Signal) or 90-day mark (Red Flag) that the engagement is approaching its maximum window
  2. If completion is not possible by the deadline, the engagement will terminate
  3. You will receive:
    • All work completed to date (reports based on interviews conducted, recordings, analysis)
    • A prorated partial refund if less than 50% of contracted services were delivered
    • No refund if 50% or more of services were delivered

Rationale: Pattern intelligence is time-sensitive. The longer an engagement extends, the less relevant the patterns become. These windows protect both the integrity of the work and our operational capacity.

8.4 Provider-Caused Delays

If we need to delay due to illness, emergency, or unforeseen circumstances:

For delays under 14 days:

  • We will notify you immediately
  • We will propose new timeline
  • No refund, engagement proceeds with adjusted timeline

For delays exceeding 14 days:

  • You may choose to:
    • Wait for completion with extended timeline (no additional charge)
    • Terminate and receive full refund for undelivered services

If we cannot complete an engagement within the maximum engagement window due to provider-caused delays, you will receive:

  • All completed work to date
  • Full refund for any undelivered services
  • Written apology and explanation

9. Termination & Pausing Services

9.1 Termination by Client

Signal Review & Red Flag Review:

These are one-time engagements. Once the interview is conducted, the engagement proceeds to completion. You cannot terminate mid-process.

Pattern Room:

After the 3-month minimum, you may terminate with 30 days’ written notice before the next billing cycle.

Example:

  • To end after Month 4, provide notice by the 1st of Month 4
  • You will be billed for Month 4
  • Engagement ends after Month 4 deliverables are complete

9.2 Termination by Dioratikos Studio

We reserve the right to terminate an engagement if:

  • Payment is not received after repeated requests
  • Client behaviour is abusive, hostile, or violates professional boundaries
  • The engagement is structurally unworkable (mutual “not a fit”)

If we terminate:

  • You will receive a prorated refund for any unused services
  • You will receive all deliverables completed to date
  • We will provide a written explanation

9.3 Pausing Services (Pattern Room Only)

Pattern Room cannot be paused. It operates on a monthly rhythm.

If you need a break:

  • End the engagement with 30 days’ notice
  • Re-engage when you’re ready (subject to availability)

We do not “hold your spot” during pauses.

10. Re-Engagement & Repeat Services

10.1 Repeating Signal Review or Red Flag Review

If you’ve completed a Signal Review or Red Flag Review and the pattern returns or a new high-stakes decision arises, you may book a new engagement.

We do NOT:

  • Revisit the same pattern question within 6 months (that would require Pattern Room for ongoing tracking)
  • Provide “check-ins” on past pattern maps (that’s outside scope)

If the same pattern returns within 6 months, we will recommend Pattern Room instead — because recurring patterns need ongoing intelligence, not one-time diagnostics.

10.2 Transitioning from One-Time to Pattern Room

If after Signal Review or Red Flag Review you realise you need ongoing intelligence, you may transition to Pattern Room.

Transition process:

  • Complete Pattern Room application
  • If approved, start Pattern Room in the following month
  • Past engagement fees do not apply toward Pattern Room (they are separate services)

11. Communication & Boundaries

11.1 Response Times

During active engagements:

  • Email responses within 48 hours (business days)
  • Urgent requests (emergency Pattern Room analyses) within 48 hours of request

Outside of contracted scope:

  • We are not available for ad-hoc advice, quick questions, or informal check-ins
  • If you need ongoing access, Pattern Room is the appropriate service

11.2 Email Access Limits

Signal Review: 7 days post-delivery
Red Flag Review: 14 days post-delivery
Pattern Room: Ongoing during active engagement

After email access ends:

  • We do not respond to new pattern questions
  • You may re-engage for a new service if needed

11.3 Scope Boundaries

We will tell you when a request is outside scope. This is not rejection — it’s clarity.

Examples of out-of-scope requests:

  • “Can you help me implement this?”
  • “Can you talk to my team about the pattern?”
  • “Can you coach me through this decision?”

Our response: “That’s outside the scope of pattern intelligence. Here’s what you’d need instead: [consultant/coach/facilitator].”

12. Force Majeure

If either party is unable to perform due to circumstances beyond reasonable control (natural disasters, war, pandemics, government action, etc.), performance is suspended without liability.

If suspension exceeds 30 days, either party may terminate the engagement with written notice. Refunds will be prorated for any undelivered services.

13. Dispute Resolution

13.1 Good Faith Resolution

If a dispute arises, both parties agree to first attempt resolution through good-faith discussion via email or video call.

13.2 Mediation

If good-faith discussion does not resolve the dispute within 30 days, both parties agree to attempt mediation before pursuing legal action.

13.3 Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict of law principles.

14. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on our website with a new “Last Updated” date.

For active engagements:

  • Existing clients will be notified of material changes via email
  • Changes apply to new engagements starting after the update date
  • Existing engagements continue under the Terms agreed at time of contract

15. Entire Agreement

These Terms, together with any service-specific agreements (intake forms, onboarding documents), constitute the entire agreement between you and Dioratikos Studio.

No verbal agreements or understandings modify these Terms unless documented in writing and signed by both parties.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
